From a perspective of recent corporate scandals leading to the global financial crisis, we will look at the set of corporate governance principles - practical expamples from the United Kingdom, the United States and Poland. Those principles are ment to be a set of required or recommended behaviours addressed to the company's bodies like board of directors / management. Their aim is to enhance the transparency of the company's management, reporting, as well as, to improve quality of communication with the shareholders and other stakeholders. Finally, the corporte governance rules should ensure strenghtened protection of shareholders' and other stakeholders' rights. Do they really protect?
